The first step is to register a LLP (Limited Liability Partnership). The key is to do it correctly to avoid mistakes and unpleasant consequences from government agencies.
Below is a list of key questions. By answering them, you will be able to register an LLP in the Republic of Kazakhstan quickly and at minimal cost.
1. Identify your business category
In Kazakhstan, all limited liability companies (LLCs) are classified as small, medium, or large businesses. This is a key point to keep in mind if you’re planning to register a company in Kazakhstan and want to approach the process correctly.
- A small business is a limited liability partnership (LLP) with an average annual workforce of no more than 100 employees and revenue not exceeding 300,000 MPR.
- Medium-sized business —with 100 to 250 employees and revenue ranging from 300,000 to 3,000,000 MPR.
- Large business —more than 250 employees and revenue exceeding 3,000,000 MPR.
2. Enter the company name
The name must be unique and not duplicated.
Before registering a limited liability partnership (TOO), it is recommended that you check for duplicates to avoid rejection.
3. Authorized Capital
Authorized capital is the amount contributed by the members to launch the company’s operations. Registering a company in Kazakhstan involves this step.
It can be set at an amount starting from 0 tenge and contributed within one year of registration.
The amount of authorized capital can be increased by a resolution of the members or decreased upon re-registration of the LLP.
4. Sole Participant

5. Company Executive
Decide who will lead the LLP—the director or the CEO.

6. Registered Address
You need to determine where your company will be located.
When registering, you must provide the RKA (registration address code).
The registered address can be:
- your own, if the property is registered in your name;
- under a lease or sublease agreement.
When submitting documents to government agencies, it is sufficient to provide the RKA code.
7. Type of Activity (OKED)
Decide what business activities the company will engage in. Company registration requires that all types of activities be specified, since the law permits any activity not prohibited by the legislation of the Republic of Kazakhstan. If you’re unsure which code to choose—that’s okay. You can specify the primary type of activity now and add additional codes later through re-registration.
However, it’s important to note that some types of activities require a license.
8. Tax System (with or without VAT)
During the registration process, decide whether the LLP will be a VAT payer. Company registration in Kazakhstan takes this important financial consideration into account.
